From Those We Have Worked With

JM

James Mercer

British expat — Bangkok

My partner and I came to Sathorn Tham for help with our prenuptial agreement. We had no idea how the Thai legal framework treated assets differently from what we were used to back home. The advisory was clear, and the written summary gave us something concrete to work from. The follow-up session helped us address a few lingering questions without any fuss.

Pornpan Nakorn

Restaurant owner — Sukhumvit

I was renewing a five-year lease for my restaurant and the new terms from the landlord had several provisions I did not fully understand. The annotated review Sathorn Tham produced was genuinely useful — I went into the negotiation with a clear picture of where I could push back and where the landlord's position was actually reasonable. The fee was worth it for the peace of mind alone.

Commercial Lease Negotiation — January 2026

David Hartmann

Investor — Singapore / Bangkok

We were building out a holding structure that needed to work across Singapore and Thailand. The team at Sathorn Tham understood the cross-jurisdictional complexity without needing lengthy explanations. The structural diagram they produced was clear enough to share directly with our accountants and board. The twelve months of maintenance advisory has already come in useful twice.

Supatra Kanchai

Thai national — adoption process

Navigating the adoption documentation process was more complex than I expected. What I appreciated most about Sathorn Tham was that they took time to explain each step before asking me to sign or submit anything. The process was handled sensitively and I never felt rushed. It made a difficult personal matter more manageable.

Michael Wongthong

Retail business — Bangkok

I contacted Sathorn Tham three weeks before our lease renewal deadline — cutting it quite close. They were able to accommodate the timeline without it seeming like a favour. The negotiation talking points document was particularly well structured. My main feedback would be that response times occasionally stretched to the next morning, but everything was thorough and well considered.

Ravi Patel

Entrepreneur — India / Thailand

Setting up a multi-entity structure between India and Thailand involved regulatory considerations I had not fully thought through. The structural diagram with legal annotations saved us significant time when reviewing the arrangement with our corporate lawyers in India — everyone was on the same page from the start. The ongoing advisory has been used three times already in the first few months.

Client Situations We Have Helped With

International Marriage & Asset Planning

The Situation

A couple — one British national, one Thai — was planning to marry and wished to understand how Thai family law would treat their respective assets, both held before and acquired during the marriage.

The Advisory

We explained the Thai Civil and Commercial Code provisions on marital property, the function and limits of prenuptial agreements under Thai law, and the registration requirements that give such agreements legal effect. A draft agreement structure was produced for their solicitors to develop further.

The Outcome

The couple proceeded with a prenuptial agreement and registered marriage with a clear understanding of the legal framework. The written advisory summary was used by their UK solicitors as a reference for cross-border estate planning considerations.

Commercial Lease Review — Bangkok Restaurant Group

The Situation

A restaurant operator entering a new site in Bangkok received a draft lease with an aggressive rent escalation clause and ambiguous maintenance obligations that could become significant over a five-year term.

The Advisory

We reviewed the lease against Thai property law, identified three clauses that presented unreasonable risk, and produced an annotated version with negotiation talking points for each. The client entered negotiations with a clear, prioritised list of changes to pursue.

The Outcome

Two of the three flagged clauses were revised in negotiation. The maintenance responsibility clause was restructured to be specific rather than open-ended. The client signed a lease that reflected their interests rather than defaulting to landlord terms.

Multi-Jurisdiction Holding Structure — Tech & Property

The Situation

An investor with technology and property interests across Thailand and Hong Kong needed a defensible legal architecture to manage intercompany cash flows, regulatory exposure, and equity arrangements across the group.

The Advisory

Over a 14-week engagement, we produced a full structural diagram with legal annotations, drafted intercompany agreements, and identified key compliance considerations under Thai company law and the Foreign Business Act. Ongoing advisory was used to navigate two subsequent regulatory queries.

The Outcome

The client established the holding structure with a document suite that clearly defined the relationships between entities. The annotated diagram was used by auditors and the Hong Kong counsel without requiring further explanation — the architecture was self-explanatory.
