1. Definitions

In these Terms and Conditions, the following terms carry the meanings set out below:

• "Sathorn Tham" / "we" / "us" / "our" — the legal advisory practice registered and operating at 287 Silom Road, Suriyawong, Bang Rak, Bangkok 10500, Thailand.
• "Client" / "you" / "your" — any individual or entity that engages Sathorn Tham for advisory services or accesses this website.
• "Services" — the advisory engagements offered by Sathorn Tham, including Family Law Consultation, Commercial Lease Negotiation Support, and Multi-Entity Legal Architecture.
• "Engagement" — a specific advisory mandate agreed between Sathorn Tham and a Client, confirmed in writing with a defined scope and fee.
• "Agreement" — these Terms and Conditions together with any engagement letter or scope document agreed in relation to a specific Service.

2. Acceptance of Terms

By submitting an enquiry through our website, engaging us for Services, or otherwise making use of our website, you confirm that you have read and agree to these Terms and Conditions.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of a company or other legal entity, you confirm that you are authorised to bind that entity to these terms.

3. Service Description

Sathorn Tham provides legal advisory services in the following areas:

• Family Law Consultation — advisory on prenuptial agreements, marriage registration, adoption documentation, and guardianship under Thai family law. Starting fee: ฿6,500.
• Commercial Lease Negotiation Support — review and analysis of commercial lease agreements under Thai property law, including annotated review and negotiation talking points. Starting fee: ฿14,500.
• Multi-Entity Legal Architecture — a 14-week advisory engagement covering holding company structures, subsidiary relationships, and intercompany agreements, including 12 months of maintenance advisory. Starting fee: ฿28,200.

Services are provided from our Bangkok office and by electronic communication. We do not offer services that are unavailable under Thai law or that fall outside our practising scope.

4. Engagement Process

An engagement commences when both parties have agreed the scope, fee, and timeline in writing. Submission of a contact form does not itself constitute an engagement. Sathorn Tham reserves the right to decline to act for any prospective client at its discretion.

Changes to the scope of an engagement must be agreed in writing before additional work is undertaken. No additional charges will be levied without your prior written acknowledgment.

5. Client Responsibilities

To enable us to provide Services effectively, you agree to:

• Provide accurate and complete information relevant to your matter promptly when requested.
• Inform us of any changes in circumstances that may affect the advice being provided.
• Not use advisory materials provided by Sathorn Tham for purposes outside the scope of the engagement without prior agreement.
• Comply with applicable Thai laws in your use of any advice or documents produced as part of an engagement.
• Refrain from misrepresenting our relationship or the scope of advice provided to any third party.

6. Intellectual Property

All content on this website — including text, structure, and design — is the property of Sathorn Tham and may not be reproduced without written permission.

Advisory documents, structural diagrams, and written summaries produced as part of an engagement are provided to you for your use in connection with the specific matter to which they relate. They may not be reproduced, resold, or relied upon by third parties without our prior written consent. Sathorn Tham retains all underlying intellectual property rights in its methodologies, templates, and work product.

7. Fees and Payment

All fees are denominated in Thai Baht (฿) and agreed in writing before any engagement commences. Payment terms will be set out in the engagement confirmation. Sathorn Tham typically requires a portion of the engagement fee before work begins, with the balance due at specified milestones or completion.

Late payment may result in suspension of work on your matter. We reserve the right to charge interest on overdue amounts at the rate permitted under Thai law.

Fees are not refundable once work has commenced, except where Sathorn Tham is unable to complete the engagement through no fault of the Client, in which case a proportionate refund will be considered at our discretion.

8. Confidentiality

We treat all information shared during engagements as confidential. We will not disclose client information to third parties except where required by law, where you have given consent, or where necessary to engage specialist advisers on your behalf with your knowledge. Our confidentiality obligations continue after the conclusion of an engagement.

9. Disclaimers

Advisory provided by Sathorn Tham is based on Thai law as it stands at the time of the engagement. We do not warrant that the law will not change after the date of our advice, and we are not obligated to update advisory documents following legislative changes unless a separate agreement covers this.

Our advisory is provided in good faith based on the information you supply. If information provided to us is incomplete or inaccurate, we cannot be held responsible for advisory that was based on it.

10. Limitation of Liability

To the extent permitted by Thai law, Sathorn Tham's total liability to any Client in connection with a specific engagement shall not exceed the total fees paid by that Client for that engagement.

We are not liable for indirect, consequential, or incidental losses, including loss of profit, loss of opportunity, or losses arising from decisions made in reliance on our advisory where those decisions were made without reference to other appropriate professional advice.

11. Indemnification

You agree to indemnify and hold harmless Sathorn Tham, its counsel, and its staff from any claims, losses, or expenses (including reasonable legal costs) arising from your misuse of advisory materials, your breach of these Terms, or any third-party claims arising from actions you have taken in connection with an engagement that fall outside the scope of advice provided.

12. Termination

Either party may terminate an engagement by written notice. Where Sathorn Tham terminates an engagement, it will provide written reasons and, where work is incomplete, will consider a proportionate refund of fees at its discretion.

On termination, all obligations relating to confidentiality, intellectual property, and payment of amounts already due continue to apply. Sathorn Tham will provide copies of documents produced up to the point of termination upon receipt of any outstanding fees.

13. Governing Law and Dispute Resolution

These Terms and all engagements are governed by the laws of the Kingdom of Thailand. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the Thai courts.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally. Either party may initiate this process by written notice to the other. If informal resolution fails within 30 days of such notice, either party may pursue formal legal remedies.

14. General Provisions

• Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties and supersede all prior communications.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
• Waiver: Failure by either party to enforce any provision does not constitute a waiver of the right to do so in future.
• Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights with notice to you.

15. Changes to These Terms

We may update these Terms from time to time. The current version will always be available on this page, identified by the "Last Updated" date. Continued use of our website or services after a change constitutes acceptance of the updated Terms. For active engagements, changes to Terms will not apply retroactively without your written agreement.
